Tom Brown of MSB acts as lead trial counsel for plaintiffs in six day trial in Delaware Court of Chancery before Chancellor Bouchard. The case, Almond v. Glenhill Advisors, LLC, C.A. No. 10477-CB (Del. Ch.), involves allegations of breach of fiduciary duty and defective corporate acts in connection with the operation of Design Within Reach, Inc. prior to and during its merger into Herman Miller, Inc. The case also raises novel questions about the breadth and scope of Delaware General Corporation Law sections 204 and 205, which permit the correction of certain types of defective corporate acts by Delaware corporations.
