Overview Representative Matters

We advise asset managers in connection with structuring, forming and launching private investment funds, including navigating the exemptions to the Investment Company Act of 1940, and the registration requirements for investment advisers under the Investment Advisers Act of 1940 as well as state laws regulating investment advisers. We have formed numerous investment funds, including multi-strategy funds, long-short funds, convertible arbitrage funds, private equity funds and real estate investment funds. We also have expertise in structuring funds for offshore and tax-exempt investors.

We regularly prepare fund documentation for both domestic and international funds and investors, and efficiently coordinate with fund administrators, prime brokers, investor counsel and offshore counsel to produce fund documentation that is both effective in marketing and protective of our client, all at a reasonable and predictable cost.

A distinguishing aspect of our investment funds practice is that we have several years of in-house experience at several funds. As a result, we understand the day-to-day operational, marketing and compliance aspects of investment funds, including managing relationships with investors, fund administrators and prime brokers, and staying on top of ongoing reporting and compliance matters.
