Overview Representative Matters

We counsel our clients on the Intellectual Property elements of transactional matters, including mergers and other business acquisitions and dispositions. We work with clients to ascertain the scope of diligence review to determine the level of risk in the transaction. We negotiate intellectual property related provisions of merger and stock and asset purchase agreements, as well as transition services, intellectual property assignments, licenses, and other ancillary agreements. Our attorneys have extensive expertise and experience in conducting intellectual property due diligence, drafting and negotiating intellectual property representations and warranties, and researching and reviewing patent and trademark portfolios to determine the extent of proprietary coverage and the maintenance of registrations. We also draft and negotiate software development, service, maintenance and other agreements transferring rights and title to intellectual property.
