Charles has been practicing law for over twenty-five years. Charles has a diverse corporate and transactional practice, representing companies in the technology, insurance, e-commerce, consumer products, manufacturing, distributing and service sectors, as well as private equity and venture capital funds, senior executives and individual investors.

Charles has extensive experience in structuring, negotiating and documenting a wide variety of corporate transactions, including mergers and acquisitions, equity and debt securities offerings, joint ventures, private equity, venture capital and PIPE transactions, among others. Charles regularly advises early-stage companies and their founders and investors on organizational, structure and financing matters.

In addition to his extensive transactional experience, Charles advises senior management and boards of directors of both early stage and mature companies about to securities compliance, corporate governance, commercial transactions and other day-to-day legal matters.

Prior to joining Morea Schwartz Bradham Friedman & Brown LLP, Charles was a partner of Michelman & Robinson, LLP New York office. He was previously a partner at Duval & Stachenfeld LLP, Morrison & Foerster LLP, and Zimet, Haines, Friedman & Kaplan.

Charles received his J.D. from Columbia Law School Law in 1985 where he was a Harlan Fiske Stone Scholar and his B.A. from the University of Rochester in 1982.
