Doug advises corporations and other businesses, and their owners, on a variety of legal issues, including complex business transactions, equity and debt issuances, general corporate matters and governance issues. Doug is an expert in mergers and acquisitions, having successfully handled over two hundred mergers and acquisitions and joint ventures. He has extensive experience in “roll-up” acquisition programs of leveraged, private equity sponsored companies. Doug has also represented sellers of businesses and management teams in leveraged buyouts of their companies.

In advising his clients, Doug draws upon thirty years of diverse corporate and tax experience. With this broad experience, Doug skillfully navigates his clients through a broad range of complex business transactions in a diversity of industries. He has provided corporate and transactional guidance to clients conducting business operations in the fields of insurance and financial services, communications, consumer products, and e-commerce, among others.

Prior to Morea Schwartz Bradham Friedman & Brown LLP, Doug was a partner of Michelman & Robinson, LLP New York office and the Chair of its Corporate and Securities Department. Before joining that firm, Doug was a partner in the corporate department of Duval & Stachenfeld, LLP.

Doug graduated with honors from St. John’s University School of Law, where he was an editor of the St. John’s Law Review. He has a Master’s Degree in Tax Law from New York University School of Law. Doug began his career as an attorney in the tax department of Coopers & Lybrand, one of the “Big Eight” accounting firms at that time. He is also a certified public accountant.
